These Terms of Use (“Terms”) govern access to and use of FestAxis websites, applications, portals, event microsites, ticketing and registration workflows, Site Planner, field tools, communications, reports, application programming interfaces, and related services (collectively, the “Service”). “FestAxis,” “we,” “us,” and “our” refer to the operator of the Service. “Organizer” means the organization or person responsible for an event workspace. “Event Participant” includes partners, vendors, exhibitors, sponsors, contractors, staff, volunteers, credential holders, applicants, registrants, attendees, ticket purchasers, and public visitors.
An executed order form, enterprise agreement, data-processing addendum, service-level agreement, or other signed agreement controls over conflicting provisions of these Terms for the subject it expressly addresses. Event-specific terms, waivers, refund policies, codes of conduct, and privacy notices supplied by an Organizer are agreements between that Organizer and the applicable Event Participant; they do not replace these Terms as they apply to use of FestAxis.
General Terms apply to everyone. Additional sections apply when you act as an Event Owner or Organizer, a Partner or Vendor, Staff or Volunteer, or an Attendee or Public User. A person may be subject to more than one section when using different workspaces.
By accessing or using the Service, creating an account, accepting an invitation, submitting an application, purchasing a ticket, signing an agreement through the Service, or otherwise indicating acceptance, you agree to these Terms. You must be legally capable of entering into this agreement. If you use the Service for an organization, business, public agency, association, club, venue, or other entity, you represent that you have authority to act for that entity within the scope of your access.
You may not use the Service if applicable law prohibits you from doing so, if your access was previously terminated for serious misuse and has not been restored, or if you are acting for a person or entity subject to applicable trade restrictions without authorization.
You must provide accurate information, maintain current contact information, and use an account assigned to you. You may not share passwords, authentication codes, recovery codes, scanner credentials, API secrets, or other access tokens. Shared operational devices may use an approved station or field-mode login only where the Organizer has configured that workflow.
You are responsible for actions taken through your account to the extent those actions result from your conduct, your authorized users, or your failure to use reasonable safeguards. You must promptly report suspected unauthorized access, credential compromise, fraudulent activity, or security weaknesses through the security report form. FestAxis may require password resets, multi-factor authentication, session termination, device reauthorization, or other reasonable security measures.
Access is limited by the role, organization, event, assignment, and permissions associated with your account. You may access only information and functions you are authorized to use. The fact that a URL, identifier, API endpoint, record number, or user interface element is discoverable does not grant permission to access it. You must not attempt to cross organization or event boundaries, alter tenant identifiers, enumerate records, or use another person’s session.
Organizers control many role assignments and event permissions. FestAxis may enforce additional restrictions necessary to protect security, privacy, payment integrity, or service availability. Some actions are recorded in audit logs and may be visible to authorized Organizer administrators.
You may not use the Service to violate law; infringe intellectual-property, privacy, publicity, or contractual rights; deceive or defraud; distribute malware; interfere with service availability; bypass security controls; scrape or bulk extract data without authorization; test production security without written approval; harass or threaten others; facilitate unlawful discrimination; impersonate another person; misrepresent event affiliation; or submit content that is unlawful, materially deceptive, or intended to cause harm.
You may not use FestAxis to facilitate unlawful weapons transactions, illegal drugs, money laundering, sanctions evasion, unlawful gambling, human exploitation, extremist violence, or other activity prohibited by applicable law or payment-processor rules. Good-faith security research requires prior written authorization. Reporting a suspected vulnerability does not authorize access to another tenant, disruption, social engineering, or retention of personal information.
You retain ownership of content you lawfully submit, including event descriptions, logos, photographs, maps, layouts, schedules, messages, documents, applications, and profile information. You grant FestAxis a non-exclusive license to host, store, reproduce, format, transmit, back up, display, and otherwise process that content as reasonably necessary to provide, secure, support, and maintain the Service and to comply with law.
You represent that you have the rights and permissions necessary to submit the content and authorize the intended use. FestAxis owns the Service, software, interfaces, documentation, templates, design systems, platform branding, and related intellectual property, excluding Organizer and user content. These Terms do not grant a right to copy, reverse engineer, resell, white-label, or create derivative works from the Service except as expressly permitted in writing or by applicable law.
You consent to receive account, security, transaction, ticket, application, assignment, operational, and legal communications electronically. Electronic notices may be delivered through the Service, email, a public event page, or another contact method you provide. You are responsible for keeping those contact methods current.
Where the Service offers electronic acknowledgments or signatures, the parties using that workflow are responsible for determining whether it is appropriate for the document and applicable law. FestAxis records may include timestamps, account identifiers, IP or device metadata, document versions, and audit events. FestAxis does not provide legal advice about whether a particular electronic signature or record is sufficient.
The Service may interoperate with payment processors, email providers, mapping services, cloud infrastructure, analytics services, identity providers, partner systems, or other third parties. Their terms and privacy practices may apply separately. FestAxis is not responsible for third-party products, content, outages, or acts, but we may limit or disable an integration when reasonably necessary to protect the Service or users.
We may improve, replace, or discontinue features and may update these Terms. We will provide reasonable notice of material changes through the Service, email, or the posted effective date when required. Changes apply prospectively unless law requires otherwise. Continued use after the effective date constitutes acceptance, except where additional affirmative consent is required.
An Organizer is responsible for the events, programs, listings, offers, policies, staff, contractors, partners, venues, permits, insurance, accessibility practices, safety planning, admissions decisions, fulfillment, refunds, taxes, and legal compliance associated with its workspace. FestAxis supplies operational software; it is not the promoter, producer, venue, employer, insurer, emergency service, seller of Organizer inventory, or event operator unless a signed agreement expressly says otherwise.
Organizers must identify the correct event context before making changes, maintain accurate public information, and establish internal approval and reconciliation procedures. High-impact actions—such as issuing refunds, changing access permissions, sending mass communications, publishing emergency information, or deleting records—must be performed only by appropriately authorized users.
FestAxis plans govern included usage scale, billing term, support, procurement, and service entitlements. Ordinary Organizer tools are not withheld solely because an Organizer selected a lower plan; event-level module settings and role permissions may still control what a user sees. Published plan limits may include active events, attendee or ticket volume, vendor or applicant volume, staff seats, storage, communications, or other measurable use.
FestAxis may display warnings as usage approaches an included allowance. Reaching a hard allowance may prevent a new event activation, import, invite, issuance, or other action that would increase measured usage. Existing records and otherwise authorized tools remain available unless access must be restricted for nonpayment, security, legal, or abuse reasons. The Organizer may reduce usage, archive eligible records, upgrade, or contact FestAxis about additional capacity.
Paid subscriptions, Single Event access, implementation services, professional services, add-ons, and other charges are due as shown at checkout, on an invoice, or in an order form. A plan offered as month-to-month renews monthly without an annual contract. Annual pricing may display a monthly equivalent for comparison, but the annual amount is billed according to the checkout or order form. Single Event access is a one-time purchase for the stated access period. Recurring services renew unless canceled before renewal, subject to the applicable order form.
Organizers authorize FestAxis and its processors to charge valid payment methods for disclosed fees. Organizers must keep billing information current and pay undisputed amounts when due. Late, failed, disputed, or reversed payments may result in reduced capacity, read-only access, suspension, collection activity, or termination after any applicable notice and cure period.
Where organizers accept payments through the Service, they are responsible for processor onboarding, connected-account status, reserves, chargebacks, refunds, tax collection and reporting, card-network requirements, and the legality and fulfillment of the underlying transaction. FestAxis may delay, reject, or review a transaction or configuration when required by a processor, law, fraud controls, or platform-security policy.
Organizers must clearly disclose what is being sold or registered, material restrictions, event dates and location, inventory, accessibility information, refund and cancellation policies, and all mandatory charges before purchase. Fee names and descriptions must be truthful and must not obscure the total price or misrepresent a charge as governmental, processor-imposed, or required when it is not.
Organizers decide event-specific refunds, exchanges, transfers, admissions, vendor approvals, booth assignments, camping assignments, and credential policies. Organizers are responsible for honoring published commitments and applicable law. FestAxis may provide tools to process or document those decisions but does not independently determine entitlement to an event refund unless a signed agreement states otherwise.
For personal information an Organizer collects and controls through the Service, the Organizer is responsible for providing appropriate notices, obtaining necessary permissions, honoring applicable rights, limiting access, and configuring retention consistent with its obligations. FestAxis generally acts as a service provider or processor for that Organizer data, as described in the Privacy Policy and any applicable data-processing addendum.
Organizers must collect only information reasonably necessary for an event workflow. Organizers may not collect full payment-card numbers, CVV/CVC codes, bank passwords, Social Security numbers, passport numbers, driver’s-license numbers, or similarly high-risk identifiers in custom fields, notes, messages, or uploads unless FestAxis has expressly enabled and approved a compliant workflow in writing.
Organizers must not use the Service to collect information directly from children under 13, consumer health information, precise location, biometric identifiers, or other specially regulated information unless the Organizer has established a lawful basis, necessary notices and permissions, appropriate safeguards, and any required written approval from FestAxis.
Organizers are responsible for inviting the correct individuals, assigning least-privilege roles, removing access promptly when relationships end, and training users on event policy and secure system use. An Organizer may not classify workers, volunteers, contractors, or partners in a manner intended to evade legal obligations. FestAxis role labels describe software permissions and do not determine employment, agency, tax, or contractor status.
Site Planner, parking-layout tools, capacity calculations, measurements, object counts, equipment estimates, routes, and supplier order sheets are planning aids. They may depend on map data, user-drawn geometry, assumptions, equipment dimensions, vehicle classes, and incomplete site conditions. They are not surveys, stamped engineering plans, fire-code approvals, accessibility certifications, traffic-control plans, crowd-safety certifications, utility locates, or guarantees that equipment will fit or be legally sufficient.
Organizers must verify measurements, easements, grades, underground utilities, emergency access, fire lanes, occupancy, ADA routes, structural requirements, permits, weather conditions, delivery access, and supplier specifications with qualified professionals and authorities. Sending a request or order sheet through FestAxis does not create a binding supplier order unless the Organizer and supplier separately accept the applicable commercial terms.
Organizers are responsible for message recipients, consent, content, timing, accessibility, and legal compliance. FestAxis communications may be delayed, filtered, rejected, or unavailable due to recipient systems, telecommunications providers, internet conditions, or other factors. Organizers must maintain appropriate emergency, public-warning, and staff-communication alternatives. FestAxis is not an emergency dispatch or life-safety notification system.
Applications, assignments, contracts, invoices, booth or camping locations, credentials, schedules, deliverables, and approvals are administered by the Organizer. FestAxis is not a party to the commercial relationship between an Organizer and a partner, vendor, exhibitor, sponsor, contractor, or supplier unless a signed agreement expressly says otherwise.
You must provide accurate business, contact, licensing, insurance, tax, product, staffing, vehicle, equipment, and operational information requested for the event. You must promptly update material changes and comply with the Organizer’s event rules, deadlines, load-in instructions, safety requirements, payment terms, and codes of conduct.
Submitting an application does not guarantee approval, location, exclusivity, attendance, sales, sponsorship value, or any particular assignment. Organizer decisions may depend on capacity, category mix, compliance, payment, insurance, site conditions, or other event needs. Unless the Organizer’s written policy says otherwise, FestAxis does not decide or appeal Organizer selection decisions.
Documents and signatures submitted through the portal must be authentic and current. You may not upload malicious files, altered certificates, false licenses, or documents you are not permitted to share. Payment, cancellation, refund, and deposit disputes are governed primarily by the Organizer’s published terms and applicable law.
Partner Portal access is limited to assigned events, tasks, messages, documents, billing records, equipment requests, and other authorized resources. You must not use portal access to obtain information about other partners, attendees, or Organizer operations beyond what is necessary for your assignment. Information marked confidential or operationally sensitive must not be redistributed except as authorized.
Staff and field users may use the Service only for assigned duties and within the active event and station context. You must follow Organizer instructions, verify the selected event and gate or station, protect devices from unauthorized use, and log out or lock the device when your shift ends. You may not look up attendees, partners, incidents, documents, or financial records out of curiosity or for personal purposes.
Ticket and credential scan results are decision-support information based on available data, synchronization state, event configuration, and the scanned code. A successful scan does not override Organizer policy or establish identity where identity verification is separately required. A failed or duplicate scan should be handled according to Organizer procedure and must not be used as a basis for confrontation or unsafe conduct.
Incident records must be factual, relevant, and limited to authorized operational purposes. Do not include gossip, discriminatory descriptions, unnecessary medical detail, or speculation presented as fact. Offline or queued actions must be synchronized as soon as reasonably possible, and users must follow displayed warnings about actions that cannot be reconciled securely.
FestAxis does not hire, supervise, schedule, compensate, insure, or direct Organizer staff or volunteers. Use of a staff or volunteer role in FestAxis does not create an employment, agency, partnership, or joint-employment relationship with FestAxis.
Public event pages, schedules, maps, vendor directories, ticket products, registration forms, policies, and announcements are provided or approved by the Organizer. Event information may change. You should review the Organizer’s current policies and contact the Organizer about event content, accessibility, admission, parking, camping, age restrictions, prohibited items, schedules, cancellations, or accommodations.
You must provide accurate purchase and registration information and use payment methods you are authorized to use. Tickets, credentials, registrations, add-ons, parking passes, and camping passes are subject to the Organizer’s transfer, resale, refund, entry, and conduct rules. Codes and credentials may be unique, limited-use, revocable, and associated with an account or named participant.
You may not duplicate, alter, counterfeit, sell, transfer, or share a code or credential contrary to the Organizer’s policy or applicable law. Admission may require the original purchaser, identification, a valid credential, consent to event rules, or other conditions disclosed by the Organizer.
The Organizer is responsible for event performance and its refund policy. Submit event-specific refund, cancellation, fulfillment, or admission requests to the Organizer using the contact information on the event page or receipt. FestAxis may provide transaction records and technical support but generally cannot compel an Organizer to issue a refund or admit a participant.
Payment disputes or chargebacks should be used honestly and only for legitimate reasons. Filing a knowingly false dispute, using a ticket after receiving a refund, or attempting duplicate recovery may result in cancellation, account restriction, evidence being provided to the processor, or other lawful action.
Applications, feedback, survey responses, messages, profile information, and other submissions must be accurate, lawful, and appropriate for the event workflow. You may not submit threats, harassment, malicious files, fraudulent documents, infringing material, or sensitive information that was not requested. Attendance and on-site conduct are governed by the Organizer and venue.
FestAxis may use automated and manual signals to identify suspected fraud, abuse, malware, unauthorized access, payment risk, unsafe configuration, or violations of these Terms. Automated signals may trigger review or temporary containment, but material account action is reviewed by a person when reasonably practicable, except where immediate action is necessary to protect users, payment systems, personal information, or service availability.
FestAxis may limit, suspend, or terminate access for material breach, nonpayment, fraud, unlawful activity, security risk, repeated abuse, processor requirements, or risk to the Service or others. Where practical and lawful, we will provide notice and an opportunity to respond or cure. We may preserve records needed for security, disputes, legal obligations, audit integrity, and fraud prevention.
Subject to payment status, law, security, technical feasibility, and an applicable agreement, an Organizer may request export of eligible Organizer data. Termination or downgrade does not require FestAxis to preserve data indefinitely. Event Participants should obtain records directly from the Organizer where the Organizer controls them.
Unless a signed agreement states otherwise, the Service is provided on an “as is” and “as available” basis. Maintenance, internet conditions, third-party failures, security events, or force-majeure circumstances may affect availability. Support scope and response targets depend on the applicable plan or agreement. FestAxis does not promise that every issue can be resolved without downtime or data correction.
To the maximum extent permitted by law, FestAxis disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation. FestAxis does not warrant that the Service satisfies every event, venue, accessibility, tax, labor, safety, insurance, payment, records-retention, or regulatory requirement. Users are responsible for obtaining professional advice where appropriate.
To the maximum extent permitted by law, FestAxis will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunity, anticipated savings, or data, arising from or related to the Service. Where liability cannot be excluded, FestAxis’s aggregate liability for claims arising from the Service will not exceed the greater of the amount the claimant paid directly to FestAxis for the affected Service during the twelve months before the event giving rise to the claim or one hundred U.S. dollars, except where a signed agreement provides a different limit or applicable law prohibits that limitation.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights that cannot lawfully be waived. Some jurisdictions do not permit certain limitations, so portions of this section may not apply.
To the extent permitted by law, an Organizer will defend and indemnify FestAxis and its personnel against third-party claims arising from the Organizer’s events, content, policies, products, services, legal violations, misuse of personal information, or breach of these Terms, except to the extent caused by FestAxis’s own breach, gross negligence, or willful misconduct. This section does not apply to an individual consumer acting solely in a personal capacity where prohibited by law.
The governing law and dispute process stated in an applicable signed agreement or order form controls. If none applies, disputes will be governed by the law applicable to the FestAxis contracting entity, without regard to conflict-of-law principles, subject to non-waivable consumer protections. Before filing a formal claim, the parties should attempt in good faith to resolve the issue through the legal contact form. These Terms do not require arbitration unless a separately accepted agreement expressly does so.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A waiver must be explicit and does not waive a later breach. You may not assign these Terms without consent where assignment would materially affect FestAxis; FestAxis may assign them in connection with a merger, financing, reorganization, or sale of the Service. Headings are for convenience. “Including” means “including without limitation.”
