Operator note. References to “FestAxis,” “we,” “us,” and “our” mean the operator of the FestAxis platform, including FestAxis, LLC or any successor operator that provides the Service.
These Terms are divided into Organizer Terms for organizer-side users and Customer Terms for ticket purchasers, attendees, registrants, vendors, exhibitors, sponsors, volunteers, applicants, and other public users of FestAxis-powered event workflows.
By creating an organizer account, selecting a plan, signing an order form, accessing organizer-side features, or using the Service in an organizer capacity, you agree to these Organizer Terms. If you use the Service for a company, nonprofit, public agency, club, venue, association, or event producer, you represent that you have authority to bind that entity.
You must provide accurate account, organization, billing, payment, and event information; keep credentials secure; assign appropriate permissions; maintain internal controls; and promptly notify FestAxis through the support form of suspected unauthorized access, credential compromise, fraud, or misuse.
Paid subscriptions, implementation fees, professional-services fees, add-ons, and other charges are due as shown in the applicable checkout, invoice, or order form. Paid subscriptions renew automatically for successive annual terms unless canceled before the renewal date, unless a signed agreement states otherwise. By purchasing or maintaining a paid plan, you authorize FestAxis and its payment processor to charge the payment method on file for recurring subscription amounts and other properly incurred charges.
Cancellation stops future renewal charges but does not create a refund for the current term except where a signed agreement says otherwise or applicable law requires otherwise.
Except where FestAxis approves another arrangement in a signed enterprise agreement, organizers must maintain a valid Stripe connected account or other approved payment account in good standing to process ticket sales, vendor payments, registrations, sponsor payments, deposits, or other platform-facilitated transactions. Organizers are responsible for processor onboarding, processor rules, card-network rules, taxes, reserves, chargebacks, disputes, and compliance obligations that apply to their events.
FestAxis is a software platform provider and is not the promoter, producer, seller, venue, insurer, safety manager, or host of your events unless expressly stated otherwise. You are responsible for event legality, fulfillment, inventory accuracy, access control, admissions decisions, permits, insurance, taxes, published policies, refund terms, and customer communications.
For live-event tickets, prices and mandatory fees must be displayed clearly and conspicuously as part of the total price before payment, except for charges that applicable law permits to be separately disclosed. Fee labels must be truthful and not misleading. Organizers may not configure vague or deceptive fee names or hide mandatory platform, processor, facility, order, delivery, or organizer-imposed charges until late in checkout.
Organizers are responsible for refunds, credits, reversals, chargebacks, processor penalties, compliance fines, and transaction-related losses arising from their events, conduct, listings, policies, or failure of performance, except to the extent caused solely by a FestAxis platform malfunction.
Organizers must not collect sensitive information, consumer health data, children’s information, government identifiers, or other regulated information through custom fields or uploaded files unless they have a lawful basis, provide required notices and consents, and determine the collection is necessary.
Hard prohibition: Organizers may not collect full payment card numbers, CVV/CVC codes, bank login credentials, Social Security numbers, driver’s license numbers, passport numbers, or similar high-risk identifiers through custom forms, uploaded files, notes, or free-text fields unless FestAxis expressly enables and approves a compliant workflow in writing.
Organizers may not create public workflows directed to children under 13 or collect personal information directly from children under 13 through the Service unless FestAxis has expressly approved the workflow in writing and required parental-consent mechanisms are in place.
You retain ownership of organizer-supplied event descriptions, logos, photographs, maps, branding, schedules, policies, layouts, and similar materials. You grant FestAxis a license to host, store, format, transmit, back up, analyze, and process those materials and event data as reasonably necessary to provide, secure, support, improve, and administer the Service.
You may not misuse the Service, bypass access controls, probe or test security without authorization, scrape the platform, resell the Service without permission, upload unlawful or infringing content, or use FestAxis for fraud, money laundering, sanctions evasion, unlawful gambling, unlawful weapons sales, illegal drugs, hate-based or extremist activity, discriminatory conduct, or activity prohibited by law or processor rules.
FestAxis may suspend or terminate access if we reasonably believe you violated these Terms, failed to pay, created payment or reputational risk, misused the Service, engaged in fraud or unlawful activity, or created risk to customers, organizers, participants, processors, or platform integrity. Subject to law, security, payment risk, and technical feasibility, FestAxis may provide a read-only/export window after termination or downgrade.
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, FestAxis disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, results, and availability. FestAxis does not warrant that the Service will be uninterrupted, error-free, secure, or sufficient for any particular legal, operational, venue, payment, or regulatory requirement.
To the maximum extent permitted by law, FestAxis will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, data, business interruption, or anticipated savings. FestAxis’s aggregate liability under the Organizer Terms will not exceed the greater of amounts paid to FestAxis during the 12 months before the claim or $100. Nothing limits liability that cannot lawfully be limited, including fraud, willful misconduct, or non-waivable rights.
You will defend, indemnify, and hold FestAxis harmless from claims arising from your events, use of the Service, organizer materials, event data, customer disputes, refunds, chargebacks, processor claims, legal violations, or third-party-rights violations.
These Organizer Terms are governed by Nevada law. Before filing a claim, each party will try in good faith to resolve the dispute by written notice through the legal contact form. Except for small-claims matters and certain equitable relief, disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Claims may be brought only in an individual capacity and not as a class, consolidated, collective, mass, or representative proceeding to the maximum extent permitted by law.
By purchasing tickets, registering, applying, submitting information, or otherwise using a FestAxis-powered public event page, you agree to these Customer Terms. The applicable organizer is generally responsible for the event, listing, policy, refund terms, ticket rights, vendor opportunity, acceptance decision, schedule, venue, safety rules, and event fulfillment.
By submitting payment information, you authorize the applicable charge to your selected payment method for the total amount displayed at checkout, including applicable prices, mandatory fees, taxes, platform fees, processor fees, organizer-imposed fees, and other amounts disclosed before payment. Payments are generally processed by Stripe or another approved processor.
Where required by law, mandatory fees will be included in the total price displayed before you consent to pay. Optional add-ons, taxes, government charges, shipping, or other amounts may be shown separately where permitted by law.
A ticket, registration, vendor fee, exhibitor fee, application fee, reservation, deposit, or similar purchase grants only the rights expressly described in the applicable listing, checkout, receipt, and organizer policy. Vendor placements, approvals, waitlists, operational requirements, and exclusivity decisions are controlled by the organizer unless expressly stated otherwise.
Refund, exchange, transfer, vendor-credit, application-fee, deposit, and cancellation policies are generally set by the organizer and should be reviewed before purchase. Except to the extent required by law or directly caused by a FestAxis platform malfunction, FestAxis is not responsible for organizer refund decisions, event cancellation decisions, vendor acceptance decisions, booth placement, or event delivery.
You must use the Service lawfully, accurately, and respectfully. You may not use false identity information, stolen payment methods, malware, abusive content, unauthorized scraping, harassment, threats, fraud, counterfeit tickets/credentials, unlawful transactions, illegal drugs, unlawful weapons sales, unlawful gambling, sanctions evasion, hate-based or extremist activity, or activity prohibited by law or processor rules.
You retain ownership of content you submit, but you grant FestAxis and the applicable organizer a license to process it as needed to process your request, evaluate an application, administer the event, provide the Service, maintain records, comply with law, and support the organizer workflow.
These Customer Terms are governed by Nevada law, except that non-waivable consumer-protection laws of your place of residence may apply. Before filing a claim, you and FestAxis will try in good faith to resolve the dispute by notice through the legal contact form. Except for small-claims court and certain equitable relief, disputes will be resolved by binding arbitration administered by the American Arbitration Association under the rules that apply to the dispute, including the AAA Consumer Arbitration Rules where applicable.
If you are a consumer, you may choose remote, telephone, written-submission, or local arbitration where required by applicable rules or law. FestAxis will pay all arbitration fees and arbitrator compensation that FestAxis is required to pay under the applicable AAA rules, Consumer Due Process Protocol, or applicable law. Claims may be brought only in an individual capacity and not as a class, consolidated, collective, mass, or representative proceeding to the maximum extent permitted by law.
