FESTAXIS ORGANIZER TERMS OF USE

1. Acceptance; Contract Structure; Scope

1.1. Binding Agreement

These Organizer Terms of Use (the "Organizer Terms") are a legally binding agreement between FestAxis and the individual or entity identified with the applicable organizer account or order form (the "Organizer," "you," or "your"). These Organizer Terms govern your access to and use of the FestAxis platform, hosted software, websites, event-management tools, checkout workflows, APIs, content, documentation, and related services made available by FestAxis (collectively, the "Service").

1.2. Relationship to Other Documents

These Organizer Terms are supplemented by the FestAxis Privacy Policy, any applicable order form, any written enterprise agreement signed by FestAxis, any incorporated processor terms, and any additional product-specific terms expressly presented within the Service. In the event of a direct conflict, the following order of precedence applies unless applicable law requires otherwise: (a) a signed written agreement with FestAxis; (b) the applicable order form; (c) these Organizer Terms; and (d) online policies incorporated by reference.

1.3. If You Do Not Agree

If you do not agree to these Organizer Terms, you must not create an organizer account, must not access organizer-side functionality, and must immediately discontinue all use of the Service in an organizer capacity.

2. Definitions

2.1 "Connected Payment Account" means the Stripe-connected account or other payment account expressly approved by FestAxis in writing for Enterprise arrangements through which event-related payments are processed or settled.

2.2 "Customer" means an attendee, ticket purchaser, registrant, vendor, exhibitor, applicant, sponsor, or other external user who interacts with a FestAxis-powered event page or workflow other than through an organizer-side account.

2.3 "Event Data" means event listings, schedules, layouts, pricing, customer-submitted information, organizer-uploaded content, operational data, and other information submitted to or generated through the Service in connection with the Organizer's events.

2.4 "Organizer Materials" means event descriptions, logos, photographs, maps, branding, ticket classes, vendor listings, policies, and other content that the Organizer uploads, publishes, or causes to be displayed through the Service.

2.5 "Plan" means the applicable subscription package, feature tier, or commercial offering selected by the Organizer, whether free, self-serve paid, or enterprise.

2.6 "Processor Rules" means the terms, operating regulations, underwriting standards, reserve practices, chargeback frameworks, card-network requirements, and other rules of Stripe, card networks, banks, wallet providers, and other payment providers involved in transactions processed through the Service.

3. Eligibility; Authority; Accounts; Security

3.1. Eligibility and Authority

You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have full legal capacity to enter into these Organizer Terms; and (c) if you are acting on behalf of a company, nonprofit, government body, or other entity, you have authority to bind that entity to these Organizer Terms.

3.2. Account Integrity

You must provide truthful, complete, and current registration and billing information, and you must promptly update such information if it changes. FestAxis may rely on the information associated with your account and may treat instructions given through your organizer credentials as authorized by you.

3.3. Credential Security and Internal Access Controls

You are solely responsible for: (a) maintaining the confidentiality of organizer credentials; (b) limiting account access to authorized personnel; (c) implementing appropriate internal controls over users acting under your account; and (d) all acts and omissions occurring through your organizer account, whether or not specifically authorized by you.

3.4. Notice of Security Incidents

You must promptly notify FestAxis at support@festaxis.com of any suspected compromise, unauthorized access, credential theft, fraudulent activity, or other security incident relating to your organizer account or Connected Payment Account.

3.5. Account Structuring Restrictions

Without FestAxis's prior written consent, you may not create multiple organizer accounts to circumvent pricing, usage caps, suspension decisions, or feature restrictions. FestAxis may consolidate, suspend, or terminate duplicative or evasive accounts in its discretion.

4. The Service; Service Changes; No SLA

4.1. Nature of the Service

The Service is an event-management and operations platform that may include, without limitation, ticketing, registration, vendor and exhibitor management, site design tools, credentialing, logistics workflows, communications, reporting, and other modules or integrations. Features vary by Plan and may change over time.

4.2. Changes to Features and Plans

FestAxis may add, remove, replace, redesign, restrict, or discontinue any feature, module, integration, workflow, or Plan entitlement at any time, with or without notice, except to the extent a specific written agreement signed by FestAxis states otherwise or applicable law requires otherwise.

4.3. No Service Level Commitment

Unless FestAxis expressly agrees otherwise in a signed written agreement, the Service is provided without any service-level commitment, uptime guarantee, guaranteed support response time, or guaranteed feature continuity. Beta, preview, experimental, and early-access features are provided entirely at FestAxis's discretion and may be modified, disabled, or withdrawn at any time.

5. Subscription Plans; Fees; Auto-Renewal; Failed Payment

5.1. Plan Selection and Charges

The Organizer may select a free Plan or a paid Plan. Paid subscription fees, implementation fees, professional services fees, add-on fees, and other charges, if any, are due in U.S. dollars in accordance with the applicable checkout, invoice, or order form. Unless expressly stated otherwise, fees are exclusive of taxes, duties, levies, and similar governmental charges.

5.2. Automatic Renewal Authorization

Each paid subscription renews automatically for successive annual terms unless canceled before the applicable renewal date, unless FestAxis agrees in writing to a different renewal structure, or unless otherwise required by law. By purchasing, maintaining, or renewing a paid Plan, the Organizer authorizes FestAxis and its payment processor to charge the payment method on file for recurring subscription amounts and other properly incurred charges.

5.3. Renewal Reminder Communications

FestAxis intends, as a business practice, to send an email reminder to the account holder approximately thirty (30) days before renewal. However, except to the extent required by applicable law, FestAxis does not guarantee any particular reminder timing, method, or frequency, and the Organizer remains responsible for managing renewal dates and cancellation decisions.

5.4. Failed Payment and Cure Period

If a subscription charge is declined, reversed, or otherwise not collected when due, FestAxis may retry the charge and may designate the account as delinquent. The Organizer will have seven (7) days following the initial failed charge to cure the delinquency by updating payment information, completing payment, or contacting FestAxis regarding the failed charge.

5.5. Operational Restrictions After Nonpayment

If the delinquency is not cured within the seven (7)-day cure period, FestAxis may disable ticketing functionality, settlement and payout functionality, payment-sensitive workflows, and related account capabilities while the account remains delinquent.

5.6. Downgrade Rights After Continued Nonpayment

If full payment is not received within thirty (30) days following the original failed charge, FestAxis may downgrade the account to the then-current Basic tier, apply all Basic-tier limits and restrictions, suspend additional features, and require activation of a new paid subscription before reinstating paid functionality.

5.7. No Refunds Except as Required by Law

Except as expressly stated in a signed writing or required by applicable law, subscription fees and similar platform fees are non-refundable. Cancellation stops future renewal charges but does not entitle the Organizer to a refund for the current subscription period.

5.8. Pricing Changes

FestAxis may change pricing, packaging, Plan limits, and commercial terms prospectively. For existing paid subscriptions, pricing changes will take effect no earlier than the next renewal term unless the Organizer affirmatively agrees sooner or applicable law requires different treatment.

6. Connected Payment Accounts; Processor Requirements

6.1. Required Stripe Account

Except where FestAxis expressly approves a different arrangement in a signed Enterprise agreement, the Organizer must maintain a valid Stripe Connected Payment Account in good standing to process ticket sales, registration payments, vendor payments, or other platform-facilitated transactions.

6.2. Processor Compliance

The Organizer is solely responsible for satisfying Processor Rules, onboarding requests, underwriting requirements, know-your-customer obligations, reserve requirements, acceptable-use rules, and any other requirements imposed by Stripe or other approved processors. FestAxis may require the Organizer to provide information, documentation, or cooperation reasonably requested in connection with compliance, underwriting, fraud review, or account support.

6.3. Processor Discretion and Platform Nonliability

FestAxis is not responsible for processor account denials, holds, reserve requirements, processing interruptions, payout timing, underwriting decisions, fee changes, or other actions taken by Stripe, banks, card networks, or other providers. The Organizer acknowledges that processor participation is subject to third-party discretion and may change at any time.

6.4. Information Sharing

The Organizer authorizes FestAxis to exchange information with processors, banks, service providers, and compliance partners as reasonably necessary to enable onboarding, payment processing, fraud prevention, support, risk review, tax reporting, and Service operation.

7. Transactions; Ticket Revenue; Refunds; Chargebacks; Reserves; Offsets

7.1. Organizer is Responsible for Events and Transaction Terms

FestAxis is a software platform provider and not the promoter, seller, operator, or host of the Organizer's events. As between FestAxis and the Organizer, the Organizer is solely responsible for event creation, event legality, event fulfillment, inventory accuracy, access control, published policies, ticket terms, vendor terms, and the content and consequences of all event-related transactions.

7.2. Settlement Expectations

Event-related funds processed through the Service are generally intended to be routed to the Organizer's Connected Payment Account, less processor fees, reserves, reversals, refunds, network fees, taxes withheld by law, and other amounts properly deducted by processors or authorized under these Organizer Terms. FestAxis does not guarantee any payout schedule or uninterrupted access to funds.

7.3. Organizer Liability for Refunds and Payment Disputes

The Organizer bears sole responsibility for all refunds, credits, reversals, chargebacks, return claims, card-network disputes, processor penalties, reserve obligations, compliance fines, and transaction-related losses arising out of or relating to the Organizer's events, conduct, listings, policies, or failures of performance, except to the extent caused solely by FestAxis's own platform malfunction and not by organizer conduct or third-party processor action.

7.4. FestAxis Remedies and Recovery Rights

If FestAxis incurs or reasonably expects to incur costs, losses, liabilities, or exposure arising from the Organizer's events or transaction activity, FestAxis may, to the maximum extent permitted by law and Processor Rules, take one or more of the following actions:

  • (a) withhold, delay, or redirect payouts or settlement flows.
  • (b) offset amounts owed against current or future amounts otherwise payable or creditable to the Organizer.
  • (c) require reimbursement, pre-funding, or reserve funding.
  • (d) invoice the Organizer directly for unrecovered losses, fees, penalties, or support costs.
  • (e) freeze sales, disable checkout, or suspend payment-sensitive workflows.
  • (f) require additional information or corrective action plans.
  • (g) suspend or terminate the organizer account for repeated or serious issues.

7.5. Limited Direct Refund Intervention by FestAxis

In limited circumstances, FestAxis may initiate refunds, void transactions, freeze sales, or take similar remedial action where FestAxis reasonably determines that such action is necessary to address fraud, unlawful activity, material organizer misconduct, regulatory exposure, card-network risk, consumer-protection concerns, or a violation of these Organizer Terms that the Organizer cannot or does not adequately remedy. FestAxis may use the Organizer's available Stripe or other processor funds where possible, and the Organizer remains fully responsible for all resulting losses, fees, and costs incurred by FestAxis.

7.6. Repeated Risk Events

Repeated or serious chargeback, refund, fraud, legal-compliance, or payment-integrity issues may result in immediate suspension or permanent removal from the Service. FestAxis may also bar the Organizer from future use of the Service unless and until FestAxis agrees otherwise in writing.

8. Organizer Operational Responsibilities and Warranties

The Organizer represents, warrants, and covenants that it will, at all times during use of the Service:

  • (1) accurately describe events, dates, venues, ticket types, vendor opportunities, pricing, capacities, benefits, restrictions, and eligibility requirements;
  • (2) honor valid tickets, registrations, vendor commitments, and other promises made through the Service;
  • (3) obtain and maintain all permits, licenses, insurance, approvals, operational plans, emergency preparations, and venue rights required for each event;
  • (4) comply with all applicable laws, regulations, and industry rules, including consumer-protection, privacy, tax, accessibility, anti-discrimination, advertising, permitting, and payment-network requirements;
  • (5) provide and maintain any legally required notices, waivers, consents, and disclosures applicable to attendees, vendors, staff, sponsors, and other participants;
  • (6) avoid overselling or offering products, access, spaces, or benefits that the Organizer cannot lawfully or operationally deliver;
  • (7) respond promptly and lawfully to customer complaints, support issues, and refund obligations;
  • (8) ensure that no event is created for the express purpose of primarily marketing to minors and that any interactions involving minors comply with applicable law and required parent or guardian consent;
  • (9) not use the Service to facilitate fraud, money laundering, unlawful fundraising, sanctions evasion, or other unlawful financial activity.

9. Restricted Events and Prohibited Uses

9.1. Restricted Event Categories

The Organizer may not use the Service in connection with any event, listing, payment flow, or activity involving illegal drugs, unlawful weapons sales, sexually explicit services or content, unlawful gambling, hate-based or extremist activity, violence promotion, discriminatory conduct, sanctioned persons or jurisdictions, fraudulent schemes, or any goods, services, or activities prohibited by law or Processor Rules.

9.2. Platform Misuse

The Organizer may not: (a) upload malware or harmful code; (b) interfere with or disrupt the Service; (c) probe, test, or circumvent security without authorization; (d) scrape or systematically extract platform data without FestAxis's written consent; (e) reverse engineer the Service except where non-waivable law expressly permits; (f) impersonate others; or (g) use the Service in any way that creates material legal, operational, reputational, or payment-network risk for FestAxis.

10. Organizer Materials; Event Data; Data License; Feedback

10.1. Ownership of Organizer Materials

As between the parties, the Organizer retains ownership of Organizer Materials and other Organizer-supplied content, subject to the rights granted to FestAxis in these Organizer Terms.

10.2. License to FestAxis

The Organizer grants FestAxis a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, adapt for technical purposes, display, transmit, distribute within the Service, back up, and otherwise process Organizer Materials and Event Data as reasonably necessary to operate, support, secure, improve, and provide the Service and related business operations.

10.3. Representations Regarding Content

The Organizer represents and warrants that it has all rights, permissions, and authority necessary to upload, publish, and use Organizer Materials and Event Data through the Service and that such materials do not infringe, misappropriate, or violate any intellectual-property, privacy, publicity, contractual, or other rights of any person or entity.

10.4. Aggregated and De-Identified Data

FestAxis may collect, create, use, and disclose service analytics, telemetry, usage information, operational metrics, and data that has been aggregated or de-identified for lawful business purposes, including security, product improvement, benchmarking, reporting, research, and platform operations, provided such use does not identify the Organizer as a marketing reference unless separately authorized in writing.

10.5. Feedback

If the Organizer provides ideas, comments, suggestions, enhancement requests, or other feedback regarding the Service, FestAxis may use, modify, commercialize, and incorporate that feedback without restriction, attribution, or compensation.

10.6. Publicity Restrictions

FestAxis will not identify the Organizer or the Organizer's events in customer lists, case studies, testimonials, or similar marketing materials without the Organizer's written permission.

11. Privacy; Security; Data Handling

11.1. Privacy Allocation

FestAxis's own handling of personal information is described in the FestAxis Privacy Policy. The Organizer remains responsible for the legality of its collection and use of personal information relating to attendees, vendors, staff, sponsors, and other event participants, including the provision of required notices and procurement of required consents.

11.2. Processing to Provide the Service

To the extent FestAxis processes personal information on the Organizer's behalf or in connection with Organizer activity, the Organizer authorizes FestAxis to process such information to host, operate, support, secure, monitor, analyze, improve, and provide the Service and to comply with law, Processor Rules, and legitimate risk-management obligations.

11.3. Security

FestAxis may implement and revise reasonable administrative, technical, and physical safeguards in its discretion. However, no system is completely secure, and FestAxis does not warrant that the Service is invulnerable to unauthorized access, cyberattack, loss, or interruption. The Organizer remains responsible for its own environment, endpoint security, credential hygiene, and internal user management.

12. FestAxis Intellectual Property; License Restrictions

12.1. Ownership

The Service, including the platform architecture, software, user interfaces, documentation, templates, graphics, page framework, and related intellectual property, is owned by FestAxis or its licensors and is protected by applicable intellectual-property and proprietary-rights laws.

12.2. Limited License

Subject to these Organizer Terms and timely payment of applicable fees, FestAxis grants the Organizer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable subscription term to access and use the Service solely for the Organizer's internal event-management and event-operation purposes.

12.3. Restrictions

Except as expressly permitted by FestAxis in writing or by non-waivable law, the Organizer may not copy, modify, distribute, lease, sublicense, resell, reverse engineer, create derivative works from, or otherwise exploit the Service outside the permitted scope of use.

13. Third-Party Services and Integrations

The Service may interface with or depend on third-party services, including processors, email providers, captcha tools, map providers, and other integrations. FestAxis does not control and is not responsible for third-party services, third-party outages, third-party terms, or third-party data practices. Third-party integrations may be changed, limited, or discontinued at any time.

14. Suspension; Termination; Effect of Termination

14.1. FestAxis Suspension and Termination Rights

FestAxis may suspend or terminate the Organizer's access immediately, with or without prior notice, if FestAxis reasonably believes that the Organizer has violated these Organizer Terms, engaged in fraud or unlawful activity, created payment or reputational risk, failed to pay amounts due, or otherwise poses risk to Customers, FestAxis, processors, or the integrity of the Service.

14.2. Organizer Termination Rights

The Organizer may stop using the Service and may cancel a paid subscription in accordance with the cancellation process made available by FestAxis. Cancellation stops future renewal billing but does not retroactively rescind existing obligations or entitle the Organizer to refunds except as required by law.

14.3. Effect of Termination

Upon suspension or termination, FestAxis may disable account access, freeze transactions, remove event pages, and cease providing organizer-side functionality. FestAxis may retain and use relevant records as described in the Privacy Policy, as reasonably necessary for backups, dispute resolution, fraud prevention, legal compliance, and enforcement of these Organizer Terms.

14.4. Read-Only / Export Window

Subject to law, security, payment risk, and technical feasibility, FestAxis may provide a read-only or export window of up to thirty (30) days following termination or downgrade. Separate export services may be offered for a fee where permitted by law and operationally feasible. FestAxis has no obligation to preserve data indefinitely.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RESULTS.

WITHOUT LIMITING THE FOREGOING, FESTAXIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, FREE OF HARMFUL COMPONENTS, OR COMPATIBLE WITH ANY SPECIFIC ORGANIZER WORKFLOW, VENUE REQUIREMENT, LEGAL REGIME, OR PAYMENT OUTCOME.

FESTAXIS IS NOT RESPONSIBLE FOR THE ORGANIZER'S EVENTS, OPERATIONS, STAFFING, SAFETY PLANS, PERMITS, TAXES, INSURANCE, REFUND DECISIONS, OR LEGAL COMPLIANCE, AND THE ORGANIZER ACKNOWLEDGES THAT EVENT SUCCESS, SALES PERFORMANCE, CUSTOMER SATISFACTION, AND REGULATORY OUTCOMES DEPEND ON FACTORS OUTSIDE FESTAXIS'S CONTROL.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, ANTICIPATED SAVINGS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE ORGANIZER TERMS, EVEN IF FESTAXIS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE ORGANIZER TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY THE ORGANIZER TO FESTAXIS UNDER THESE ORGANIZER TERMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

NOTHING IN THESE ORGANIZER TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. Indemnification

To the maximum extent permitted by law, the Organizer shall defend, indemnify, and hold harmless FestAxis, its affiliates, and their respective officers, managers, members, employees, contractors, licensors, and agents from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Organizer's events; (b) the Organizer's use of the Service; (c) Organizer Materials or Event Data; (d) refunds, chargebacks, payment disputes, or processor claims; (e) the Organizer's breach of these Organizer Terms; or (f) the Organizer's violation of law or third-party rights.

FestAxis may assume exclusive control of the defense and settlement of any indemnified matter, and the Organizer shall cooperate with FestAxis in connection with such defense. The Organizer may not settle any indemnified claim in a manner that imposes liability or obligations on FestAxis without FestAxis's prior written consent.

18. Dispute Resolution; Arbitration; Class Action Waiver

18.1. Governing Law

These Organizer Terms and any dispute or claim arising out of or relating to these Organizer Terms, the Service, or the relationship between the parties are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

18.2. Binding Arbitration

Except for claims that may properly be brought in small claims court and except for requests for temporary, preliminary, or permanent injunctive or equitable relief relating to intellectual property, misuse of the Service, confidential information, payment recovery, or unauthorized access, any dispute, controversy, or claim arising out of or relating to these Organizer Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be seated in Nevada and may proceed by remote or virtual means where permitted.

18.3. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES THAT ANY CLAIM SHALL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, MASS, OR REPRESENTATIVE PROCEEDING.

18.4. Severability of Dispute Terms

If any portion of this Section 18 is found unenforceable as to a particular claim or remedy, that portion shall be severed only to the minimum extent necessary, and the remainder of this Section 18 shall remain in full force and effect to the maximum extent permitted by law.

19. Electronic Communications; Notices

The Organizer consents to receive notices and communications electronically, including by email, account notification, or posting through the Service. The Organizer is responsible for keeping account contact information current. FestAxis may rely on the latest contact details associated with the Organizer's account.

Questions regarding these Organizer Terms may be directed to legal@festaxis.com. Formal legal notices to FestAxis shall be sent to FestAxis LLC at its designated mailing address once published. Until then, any mailed-notice placeholder remains subject to update.

20. Miscellaneous

20.1 No Agency. These Organizer Terms do not create any agency, partnership, joint venture, fiduciary, employment, franchise, or similar relationship between the parties.

20.2 Assignment. The Organizer may not assign these Organizer Terms or any rights or obligations hereunder without FestAxis's prior written consent. FestAxis may assign these Organizer Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets or business.

20.3 Force Majeure. FestAxis will not be liable for delay, interruption, or failure resulting from causes beyond its reasonable control, including internet failures, utility outages, acts of God, labor disputes, civil unrest, war, terrorism, epidemics, government action, venue issues, processor outages, or third-party service failures.

20.4 Export / Sanctions Compliance. The Organizer shall not use the Service in violation of applicable export-control, sanctions, anti-boycott, or trade laws.

20.5 Entire Agreement. These Organizer Terms, together with incorporated policies and any governing written order form or signed agreement, constitute the entire agreement between the parties with respect to the subject matter addressed herein.

20.6 Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

20.7 Waiver. No failure or delay by FestAxis in exercising any right operates as a waiver of that right.

20.8 Survival. Any provision that by its nature should survive termination, including payment obligations, indemnification, limitations of liability, dispute resolution, data rights, recovery rights, and intellectual-property protections, shall survive termination.


FESTAXIS CUSTOMER TERMS OF USE

This agreement is intended to apply to external users of FestAxis-powered event pages and workflows, including attendees, purchasers, registrants, vendors, exhibitors, and similar users. Revised 3/16/2026

1. Acceptance; Scope; Parties

1.1. Binding Agreement

These Customer Terms of Use (the "Customer Terms") are a legally binding agreement between FestAxis and each individual or entity that accesses, browses, registers through, purchases through, submits information through, or otherwise uses a FestAxis-powered public page, checkout, workflow, application portal, or related service in a non-organizer capacity ("you" or "your").

1.2. Organizer-Controlled Transactions

FestAxis provides the platform framework used for certain organizer-controlled event pages and workflows. Unless the relevant page, checkout, or applicable law expressly states otherwise, the actual event, offering, listing, ticket, registration, vendor opportunity, policy, and transaction terms are provided by the applicable organizer, and your underlying transaction is with that organizer.

1.3. If You Do Not Agree

If you do not agree to these Customer Terms, you must not create an external-user account, must not purchase or apply through a FestAxis-powered page, and must discontinue use of the relevant workflow or event page.

2. Definitions

2.1 "Customer" means any non-organizer user of a FestAxis-powered page or workflow, including a ticket purchaser, attendee, registrant, vendor, exhibitor, applicant, sponsor, volunteer applicant, or similar external user.

2.2 "Organizer" means the person or entity that creates, controls, operates, promotes, or administers the applicable event, listing, vendor opportunity, or offering made available through the Service.

2.3 "Purchase" means any ticket purchase, registration, vendor fee payment, application fee, reservation, deposit, or other transaction processed through a FestAxis-powered page or workflow.

2.4 "Service" means the FestAxis platform, page framework, checkout systems, hosted tools, and related technology made available by FestAxis for public-facing event interactions.

3. Eligibility; Accounts; Minor Use

3.1. Age and Capacity

You represent that you are the age of majority in your jurisdiction and have capacity to enter into a binding agreement. If you are below the age of majority, you may use the Service only with the consent and supervision of a parent or legal guardian, and that parent or legal guardian agrees to be responsible for your use to the extent permitted by law.

3.2. Account Accuracy and Security

If you create an account, you must provide truthful, accurate, and current information and must maintain the confidentiality of your credentials. You are responsible for all activity occurring under your account until you notify FestAxis or the applicable organizer of unauthorized use.

3.3. Prohibited Identity Practices

You may not impersonate any person or organization, create an account using false or misleading information, use another person's credentials without authorization, or submit false identity, business, tax, insurance, eligibility, or payment information.

4. Organizer-Controlled Content and Event Information

4.1. Organizer Responsibility for Listings and Policies

The Organizer, not FestAxis, is responsible for event descriptions, dates, times, locations, vendor opportunities, capacities, amenities, lineup details, admission rules, refund policies, transfer rules, space assignments, and the accuracy and legality of content displayed on organizer-controlled event pages.

4.2. Changes to Event Conditions

Event details and participation conditions may change, including schedules, performers, amenities, placement assignments, weather-related policies, parking and camping conditions, operating hours, or access restrictions. You are responsible for reviewing organizer communications and event updates before attendance, participation, or setup.

4.3. No FestAxis Guarantee of Organizer Performance

FestAxis does not independently verify all organizer statements and does not guarantee that an organizer will perform as promised, honor a specific policy, or deliver any particular event outcome, except as may be required by law.

5. Payments; Pricing; Processor Terms

5.1. Authorization to Charge

By submitting payment information through a FestAxis-powered workflow, you authorize the applicable organizer, FestAxis, and/or the designated payment processor to charge the payment method you provide for the total amount displayed, including applicable taxes, fees, and authorized adjustments, in accordance with the applicable checkout flow and law.

5.2. Processor Role

Payments made through the Service are generally processed by Stripe or another processor approved for the applicable event. Payment processing is also subject to the processor's own terms, privacy practices, and authorization requirements. FestAxis is not responsible for processor outages, bank declines, issuer decisions, or processor fee changes.

5.3. Your Payment Representations

You represent and warrant that you are authorized to use the submitted payment method and that all payment information supplied by you is accurate and lawful. If a transaction is declined, disputed, reversed, or later determined to be invalid, the Organizer or FestAxis may cancel, suspend, revoke, or adjust the associated ticket, registration, vendor status, or other benefit.

5.4. Pricing and Tax Allocation

Unless expressly stated otherwise, pricing, inventory, tax treatment, and organizer-imposed fees are determined by the Organizer. FestAxis is not responsible for organizer pricing errors, organizer tax positions, or organizer policy drafting.

6. Tickets; Registrations; Vendor Spaces; Applications

6.1. Scope of Rights Purchased

A ticket, registration, vendor fee, application fee, reservation, or similar Purchase grants only the rights expressly described in the applicable listing, checkout flow, and organizer policy. Additional waivers, credentials, insurance requirements, documentation requests, or event-specific terms may also apply.

6.2. Vendor and Exhibitor Matters

Vendor placements, booth assignments, acceptance decisions, waitlists, exhibitor classifications, operational requirements, and organizer approvals are controlled by the Organizer unless expressly stated otherwise. Submission of an application or payment does not guarantee acceptance, exclusivity, or a particular placement unless the Organizer expressly commits otherwise.

6.3. Compliance with Organizer Rules

You are responsible for reviewing and complying with organizer-specific rules concerning transfers, resales, deadlines, insurance, setup and teardown obligations, admission requirements, prohibited items, code-of-conduct rules, and participation restrictions.

7. Refunds; Cancellations; Organizer Disputes

7.1. Organizer Refund Policies Control

Refund, exchange, transfer, vendor-credit, and cancellation policies are generally set by the Organizer and should be reviewed before you complete a Purchase. Organizers are responsible for ensuring that their policies comply with applicable law in the jurisdiction of the event.

7.2. FestAxis is Not Generally Responsible for Organizer Refund Decisions

Except to the extent required by law or directly caused by a FestAxis platform malfunction, FestAxis is not responsible for whether an Organizer offers or denies refunds, credits, exchanges, rescheduling options, or vendor reimbursement. Disputes concerning organizer performance, organizer policy compliance, event cancellation, vendor acceptance, or event delivery are primarily between you and the Organizer.

7.3. Limited Platform-Level Remediation

FestAxis may, in limited circumstances and to the extent legally permitted, assist with support inquiries, technical corrections, fraud review, or remedial action where necessary to address platform issues, unlawful conduct, or material organizer violations of law or these Customer Terms. Any such assistance is voluntary unless otherwise required by law and does not create a general obligation for FestAxis to resolve all organizer disputes.

7.4. Vendor Payment Disputes

Vendor and exhibitor payment disputes are generally handled through the Organizer unless the issue directly results from a FestAxis platform malfunction or FestAxis is otherwise legally required to intervene.

8. Customer Conduct and Platform Use Restrictions

You agree to use the Service lawfully, accurately, and respectfully. Without limiting the foregoing, you shall not:

  • (1) use a false identity, stolen payment method, or misleading information;
  • (2) attempt to gain unauthorized access to accounts, systems, event data, or other users' information;
  • (3) upload malware, harmful code, or abusive, defamatory, or unlawful content;
  • (4) scrape, crawl, harvest, or systematically extract data from the Service without written permission;
  • (5) reverse engineer, interfere with, or disrupt the Service except where non-waivable law expressly permits;
  • (6) harass, threaten, defraud, discriminate against, or endanger others through the Service;
  • (7) resell, transfer, duplicate, counterfeit, or exploit tickets, vendor credentials, or access rights in violation of organizer policy or law.

9. Restricted Activity

You may not use a FestAxis-powered page or workflow in connection with unlawful transactions, illegal drugs, unlawful weapons sales, sexually explicit services or content, unlawful gambling, hate-based or extremist activity, sanctions evasion, fraud, or any activity prohibited by law or Processor Rules. FestAxis or the Organizer may deny, restrict, suspend, or cancel access where such risk is reasonably suspected.

10. Customer Submissions; Licenses; Representations

10.1. Ownership of Your Submissions

You retain ownership of photos, logos, business names, text, applications, descriptions, responses, or other content that you upload through the Service (collectively, "Customer Submissions"), subject to the rights granted below.

10.2. License to FestAxis and Organizer

You grant FestAxis and the applicable Organizer a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, adapt for technical purposes, display, transmit, and otherwise use Customer Submissions as reasonably necessary to process your request, evaluate an application, administer the relevant event, provide the Service, maintain records, and comply with law.

10.3. Your Content Warranties

You represent and warrant that you have all rights necessary to submit Customer Submissions and that such submissions do not violate law or third-party rights, including intellectual-property, privacy, publicity, confidentiality, and contractual rights.

11. Privacy

FestAxis's handling of personal information is described in the FestAxis Privacy Policy. Organizers may also maintain their own privacy notices, event-specific policies, and participant disclosures. By using the Service, you acknowledge that both FestAxis and the applicable Organizer may process information relating to your account, Purchase, attendance, application, or participation in accordance with their respective policies and legal obligations.

12. Third-Party Services

FestAxis-powered pages may use or link to third-party services, including processors, mapping tools, captcha services, streaming providers, embeds, or external organizer websites. FestAxis does not control and is not responsible for third-party content, third-party availability, or third-party terms and privacy practices.

13. Intellectual Property

13.1. FestAxis Platform Rights

The Service, including the FestAxis platform, page framework, software, and related materials, is owned by FestAxis or its licensors and is protected by law. No rights are granted to you except the limited right to access and use the Service in accordance with these Customer Terms.

13.2. Organizer Rights

Event names, logos, images, schedules, and listing content supplied by an Organizer belong to that Organizer or its licensors. You may not copy, republish, exploit, or use such materials except as necessary for ordinary event participation or as otherwise permitted by law.

13.3. Feedback

If you provide feedback or suggestions to FestAxis about the Service, FestAxis may use them without restriction, attribution, or compensation.

14. Suspension; Cancellation; Access Restrictions

FestAxis or the applicable Organizer may suspend, cancel, revoke, or limit your account, ticket, registration, vendor status, application, Purchase, or platform access where reasonably necessary to address nonpayment, fraud, chargebacks, organizer rule violations, safety concerns, legal compliance, platform misuse, or risk to the Service or other users. FestAxis may preserve relevant records and may cooperate with Organizers, processors, law enforcement, courts, regulators, and rights holders where legally required or reasonably necessary to protect users, enforce rights, investigate misconduct, or maintain platform integrity.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

FESTAXIS DOES NOT WARRANT THAT ANY EVENT WILL OCCUR AS DESCRIBED, THAT ANY ORGANIZER WILL HONOR A PARTICULAR POLICY, THAT ANY PURCHASE WILL PRODUCE A PARTICULAR OUTCOME, OR THAT EVENT CONDITIONS WILL REMAIN UNCHANGED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, PRODUCTS, SERVICES, POLICIES, NEGLIGENCE, MISCONDUCT, OR LEGAL COMPLIANCE OF ORGANIZERS, VENUES, PERFORMERS, VENDORS, OR OTHER THIRD PARTIES.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS ARISING OUT OF OR RELATING TO THE SERVICE, ANY PURCHASE, ANY EVENT, OR THESE CUSTOMER TERMS, EVEN IF FESTAXIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FESTAXIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE, ANY PURCHASE, OR THESE CUSTOMER TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO FESTAXIS DIRECTLY, IF ANY, FOR THE SPECIFIC TRANSACTION OR USE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

NOTHING IN THESE CUSTOMER TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. Indemnification

To the maximum extent permitted by law, you shall defend, indemnify, and hold harmless FestAxis, its affiliates, and their respective officers, managers, members, employees, contractors, licensors, and agents from and against any claims, demands, actions, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Customer Terms; (b) your misuse of the Service; (c) your Customer Submissions; (d) your violation of law; or (e) your infringement or violation of any third-party right.

FestAxis may assume exclusive control of the defense and settlement of any indemnified matter, and you agree to cooperate with that defense. You may not settle any claim in a manner that imposes liability or obligations on FestAxis without FestAxis's prior written consent.

18. Dispute Resolution; Arbitration; Class Action Waiver

18.1. Governing Law

These Customer Terms and any dispute or claim arising out of or relating to these Customer Terms, the Service, or any Purchase are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

18.2. Binding Arbitration

Except for claims that may properly be brought in small claims court and except for requests for temporary, preliminary, or permanent injunctive or equitable relief relating to intellectual property, misuse of the Service, confidential information, payment recovery, fraud, or unauthorized access, any dispute, controversy, or claim arising out of or relating to these Customer Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. Arbitration shall be seated in Nevada and may proceed by remote or virtual means where permitted.

18.3. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND FESTAXIS AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, MASS, OR REPRESENTATIVE ACTION OR PROCEEDING.

18.4. Severability of Dispute Terms

If any portion of this Section 18 is found unenforceable as to a particular claim or remedy, that portion shall be severed only to the minimum extent necessary, and the remainder shall remain enforceable to the fullest extent permitted by law.

19. Electronic Communications; Notices

You consent to receive notices and communications electronically, including by email, account notification, or posting through the Service. You are responsible for keeping your contact information current. Questions regarding these Customer Terms may be directed to legal@festaxis.com. Formal legal notices to FestAxis shall be sent to FestAxis LLC at its designated mailing address once published.

20. Miscellaneous

20.1 No Agency. These Customer Terms do not create any agency, partnership, joint venture, employment, franchise, or fiduciary relationship between you and FestAxis.

20.2 Assignment. You may not assign these Customer Terms without FestAxis's prior written consent. FestAxis may assign these Customer Terms in connection with a merger, acquisition, financing, or sale of assets or business.

20.3 Force Majeure. FestAxis will not be liable for delays or failures caused by events beyond its reasonable control, including internet outages, severe weather, natural disasters, labor disputes, government action, war, terrorism, civil unrest, epidemics, processor failures, or third-party outages.

20.4 Entire Agreement. These Customer Terms, together with the Privacy Policy and any event-specific terms or policies properly incorporated into the applicable workflow, constitute the entire agreement between you and FestAxis regarding the subject matter addressed herein.

20.5 Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

20.6 Waiver. No failure or delay by FestAxis in enforcing any right shall operate as a waiver.

20.7 Survival. Any provision that by its nature should survive termination, including dispute resolution, limitations of liability, indemnification, intellectual-property protections, and payment-related rights, shall survive.
